Terms of Service

Mailbox Lane is a trade name operated by Hues and Bits ("Mailbox Lane," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of mailboxlane.com ("Website") and any services you engage us to perform ("Services").
These Terms constitute a Master Service Agreement. Individual project or client-specific agreements, where executed, take precedence over these Terms to the extent of any conflict.
By using the Website or engaging our Services, you agree to these Terms.
1. Services
Mailbox Lane provides done-for-you cold email outreach services for B2B companies. The specific scope of Services for each engagement is defined at the time of onboarding and may include domain and mailbox provisioning, DNS configuration, inbox warmup, lead scraping and enrichment, sequence copywriting, campaign management, reply handling, deliverability monitoring, and performance reporting.
The exact scope, volume, and deliverables for your engagement will be set out in a separate service agreement or order form executed between you and Mailbox Lane.
2. Eligibility
By engaging our Services, you represent that you are a business or acting on behalf of a business, that you have the authority to enter into a binding agreement, that your intended use of our Services is lawful in your jurisdiction, and that you are not engaged in any prohibited industry or activity listed in Section 9.
3. Fees and Payment
A one-time setup fee is due in full before any work commences. This fee covers infrastructure provisioning, configuration, and onboarding.
Your monthly retainer is invoiced on the same date each month as your start date (for example, if you start on the 6th, you are invoiced on the 6th of every subsequent month). Payment is due within 7 days of the invoice date.
Where applicable, performance or variable fees (such as per-meeting or per-lead fees) are invoiced on your anniversary date the following month, covering the prior month's results. Payment is due within 7 days of the invoice date.
All payments are processed via Wise. Fees are dynamically quoted based on the scope of your engagement and will be specified in your service agreement or order form.
Prices are exclusive of any applicable taxes. You are responsible for any taxes imposed on you in your jurisdiction.
4. Refunds
The setup fee is non-refundable once infrastructure provisioning has commenced.
Retainer payments are non-refundable, except as provided under the results guarantee in your signed service agreement.
Per-meeting or per-lead fees are non-refundable once the relevant outcome has been delivered.
5. Cancellation
Either party may terminate the engagement by providing 30 days written notice.
On the effective date of termination, all active campaigns will be stopped, all infrastructure provisioned on your behalf (including domains, mailboxes, lead lists, sequences, and automation workflows) will be decommissioned and deleted, and no further invoices will be raised except for any amounts already outstanding.
You remain liable for any fees accrued up to and including the termination date.
If you wish to retain the infrastructure and assets built during your engagement, you may request an IP and asset transfer before termination. See Section 7.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Mailbox Lane's total liability to you for any claim arising out of or related to these Terms or the Services will not exceed the total fees paid by you to Mailbox Lane in the 30 days preceding the event giving rise to the claim.
Mailbox Lane is not liable for indirect, incidental, consequential, or punitive damages, loss of revenue, profit, or business opportunities, deliverability outcomes, reply rates, or meeting volumes (which are influenced by factors outside our control, including your offer, target market, and email infrastructure reputation), or actions taken by third-party platforms such as domain blacklisting or email provider policy changes.
Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.
7. Intellectual Property
All work product created by Mailbox Lane during your engagement (including sequence copy, lead lists, domain assets, mailbox configurations, and automation workflows) remains the property of Mailbox Lane until full payment of all outstanding fees has been received.
Upon full payment, you receive a non-exclusive license to use the deliverables for your own business purposes.
If you wish to take full ownership of all infrastructure and assets built during your engagement (including domains, mailboxes, lead lists, sequence copy, and automation workflows), this can be arranged upon mutual written agreement and payment of a separately negotiated transfer fee. Resale or sublicensing of transferred assets to third parties is not permitted without prior written approval from Mailbox Lane.
8. Reselling and White-Labeling
You may not resell, sublicense, or white-label Mailbox Lane's Services without prior written approval. Approved arrangements will be governed by a separate written agreement.
9. Prohibited Industries and Uses
Mailbox Lane will not provide Services to businesses or individuals engaged in the following:
- Adult content or pornography
- Gambling or online betting
- Cryptocurrency, NFTs, or token sales
- Pharmaceutical or prescription drug sales
- Multi-level marketing or pyramid schemes
- Debt collection
- Weapons, firearms, or ammunition
- Political campaigns or political advocacy
- Payday lending or predatory financial products
- Any activity that is illegal under Indian law or the laws of the client's target market
Engaging us under false pretenses regarding your industry or intended use is grounds for immediate termination without refund.
10. Compliance with Applicable Law
You are responsible for ensuring that your use of our Services complies with all laws applicable to your business and target market, including data protection, anti-spam, and marketing laws.
Mailbox Lane conducts outreach in compliance with applicable anti-spam legislation across all target markets, including the CAN-SPAM Act (US), CASL (Canada), the Spam Act 2003 (Australia), the Privacy Act 2020 (New Zealand), UK PECR and UK GDPR, and the UAE Electronic Transactions Law.
All outreach emails sent on your behalf will include sender identification, a business address, and an unsubscribe mechanism. You agree not to instruct us to send communications that would violate any of the above laws.
11. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services, and not to disclose such information to third parties without prior written consent. This obligation survives termination of the engagement.
A separate Non-Disclosure Agreement may be executed upon request.
12. Dispute Resolution
We prefer to resolve disputes informally. If you have a concern, please reach out via our contact form and we will make a good-faith effort to reach a resolution within 14 days.
If informal resolution fails, any dispute arising out of or in connection with these Terms will be governed by the laws of India. The courts of Chennai, Tamil Nadu will have exclusive jurisdiction, except where mandatory local consumer protection laws in your jurisdiction provide otherwise.
13. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes via email at least 14 days before the changes take effect. Continued use of the Website or Services after the notice period constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your engagement before the effective date of the changes.
14. Entire Agreement
These Terms, together with any executed service agreement or order form, constitute the entire agreement between you and Mailbox Lane with respect to its subject matter. In the event of a conflict, the terms of a signed client-specific agreement take precedence over these Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
16. Language
These Terms are written in English. In the event of any translation, the English version prevails.
